These Terms of Service ("Terms") govern your access to and use of services provided by Sovira Labs ("Sovira Labs,” “Sovira," "we," "us," or "our").

By accessing this website or engaging our services, you agree to be bound by these Terms.

1. Services

Sovira Labs provides strategic advisory, system design, and implementation support for business growth.

We do not operate as a marketing agency and do not guarantee leads, conversions, or revenue outcomes.

All services, including audits, system builds, automation, and consulting, are intended to support business performance but do not ensure specific results.

2. No Guarantees

Results depend on multiple factors including execution, offer quality, pricing, market conditions, and internal operations.

Sovira Labs makes no guarantees regarding revenue, profit, lead volume, or conversion rates.

Any examples, case studies, or projections are illustrative only.

3. Client Responsibilities

You agree to:

  • Provide accurate and complete information

  • Maintain access to required platforms and tools

  • Respond in a timely manner to requests

  • Implement recommendations where applicable

  • Comply with all applicable laws and regulations

Sovira Labs is not responsible for results impacted by delays, lack of implementation, or incomplete information.

4. Payments and Refunds

  • All fees are outlined in your invoice or agreement

  • All payments are final and non-refundable unless stated otherwise in writing

  • Payment obligations remain regardless of usage or results

  • Services may be paused or terminated for non-payment

You are responsible for all third-party costs.

5. Intellectual Property

All Sovira Labs systems, frameworks, automations, workflows, messaging structures, and materials remain our exclusive intellectual property.

You are granted a limited, non-transferable, non-exclusive license for internal business use only.

You may not copy, reproduce, distribute, sell, sublicense, reverse engineer, or otherwise exploit our work for commercial purposes.

6. Independent Contractor

Sovira Labs operates as an independent contractor.

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.

7. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information, including business strategies, financial data, customer data, and internal systems.

8. Third-Party Platforms

Sovira Labs may recommend or implement third-party platforms.

We are not responsible for outages, errors, data loss, or changes to third-party services.

Your use of such platforms is subject to their own terms.

9. Disclaimer of Warranties

All services are provided "as is" and "as available" without warranties of any kind.

Sovira Labs disclaims all warranties, whether express or implied, including fitness for a particular purpose, merchantability, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by law, Sovira Labs shall not be liable for any indirect, incidental, consequential, or punitive damages.

We are not liable for loss of revenue, profits, data, or business opportunities.

Total liability shall not exceed the amount paid to Sovira Labs in the thirty (30) days preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sovira Labs from any claims, damages, liabilities, costs, or expenses arising from:

  • Your business operations

  • Your use or misuse of our services

  • Your violation of any law or third-party rights

12. Data Responsibility

You are solely responsible for the accuracy, legality, and use of any data you provide.

You agree to comply with all applicable data protection and privacy laws.

13. No Professional Advice

Sovira Labs does not provide legal, financial, medical, or regulatory advice.

All recommendations are for general business purposes only.

You are responsible for consulting licensed professionals where appropriate.

14. Termination

We may suspend or terminate services at any time for violation of these Terms, non-payment, misuse of our systems, or unlawful or unethical conduct.

No refunds will be issued upon termination.

15. Access

Access to systems, files, or materials may be revoked upon termination or non-payment.

Unauthorized use is prohibited.

16. Results Disclaimer

You are solely responsible for your business decisions, execution, and results.

Sovira Labs provides guidance and systems only and is not responsible for outcomes.

17. Non-Solicitation

You agree not to solicit or hire Sovira Labs employees or contractors during the engagement and for twelve (12) months following termination.

18. Non-Disparagement

Both parties agree not to make false, misleading, or harmful statements about the other.

19. Force Majeure

Sovira is not liable for delays or failure to perform due to events beyond our control.

20. Dispute Resolution

Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Texas.

You agree to submit to the jurisdiction of such courts.

21. Governing Law

These Terms are governed by the laws of the State of Texas.

22. Entire Agreement

These Terms, along with any written agreements, constitute the entire agreement between you and Sovira Labs.

23. Severability

If any provision is found invalid or unenforceable, the remaining provisions shall remain in full force.

24. Waiver

Failure to enforce any provision shall not be considered a waiver of rights.

25. Assignment

You may not assign or transfer your rights under these Terms without prior written consent.

Sovira Labs may assign its rights at its discretion.

26. Electronic Acceptance

Electronic acceptance of these Terms constitutes a legally binding agreement.

27. Survival

Provisions relating to intellectual property, limitation of liability, indemnification, confidentiality, and related protections shall survive termination.
